Independent Contractor Service Agreement

This Independent Contractor Service Agreement ("Agreement") is entered into between Papechay Inc. Logistics ("Company") and the undersigned contractor ("Contractor") for the purpose of providing delivery, courier, or transportation services on a non-exclusive, independent basis. Contractor acknowledges that they are an independent business providing transportation services and are not an employee, partner, or agent of the Company.

Scope of Services. Contractor agrees to pick up, transport, and deliver freight, parcels, medical specimens, documents, or equipment as tendered by the Company or its customers, in accordance with Company instructions, industry safety standards, and all applicable laws. Contractor will maintain a working mobile phone and respond to dispatch communications in a timely manner.

Equipment & Expenses. Contractor shall provide and maintain their own vehicle and equipment in safe operating condition, including insurance, fuel, tolls, and licenses. Contractor is solely responsible for all expenses incurred in performing services.

Compensation. Company will compensate Contractor per load, route, or agreed schedule. Payments may be based on percentage, flat-rate, or customer billing. Contractor understands that incomplete, late, or improperly documented deliveries may delay payment.

Independent Status. Nothing in this Agreement creates an employer-employee relationship. Contractor is responsible for their own taxes, workers compensation (if required), health insurance, and business filings.

Confidentiality. Contractor will protect customer information, medical or HIPAA-related details (if applicable), and business methods disclosed by Company.

Term & Termination. This Agreement remains in effect until terminated by either party upon notice. Company may suspend or terminate for misconduct, late deliveries, unsafe driving, or failure to maintain required documentation.

Dispatch Service Agreement (Owner-Operator)

This Dispatch Service Agreement is between Papechay Inc. Logistics ("Dispatcher") and the undersigned motor carrier / owner-operator ("Carrier"). Dispatcher will assist Carrier in locating freight, negotiating rates, sending rate confirmations, and providing administrative support so Carrier can focus on operating their equipment.

Authority. Carrier affirms they are properly authorized (MC / DOT or intrastate authority), insured, and compliant with all federal, state, and local transportation rules.

Services Provided. Dispatcher will: (1) search for and secure loads that fit Carrier's equipment and lanes, (2) communicate load details, (3) help complete broker/shipper packets, (4) forward rate confirmations, (5) assist with detention/TONU requests when applicable.

Fees. Carrier agrees to pay Dispatcher an agreed service fee (percentage or flat amount) per load moved through Dispatcher. Such fee is due upon Carrier receiving payment or as otherwise agreed.

No Employer Relationship. Dispatcher is not responsible for Carrier's drivers, equipment, or safety compliance. Carrier operates as an independent motor carrier.

Limited Power of Attorney

Carrier grants Papechay Inc. Logistics a limited power of attorney to complete and sign setup packets, broker-carrier agreements, rate confirmations, and load-related documents on Carrier's behalf solely for the purpose of booking and dispatching freight. This power does not allow Dispatcher to incur debt or make unrelated commitments.

Load Confirmation & Rate Agreement

Each load tendered will be confirmed in writing, showing pickup/delivery location, times, commodity, rate, accessorials, and any special instructions. Carrier/Contractor must accept and perform according to the confirmation.
